General Terms and Conditions of Sale, Delivery, and Payment of SUPERREBEL KIDSGEAR COMPANY B.V.:

 

Application

1.1 These General Terms and Conditions apply to every offer made by SUPERREBEL KIDSGEAR COMPANY B.V. and to every distance contract concluded between SUPERREBEL KIDSGEAR COMPANY B.V. and the buyer, referred to as the "Customer".

1.2 The terms and conditions below are used by SUPERREBEL KIDSGEAR COMPANY B.V., located and having offices in Made, as well as by the current group companies Jolo Eurofashion Made B.V., Jolo Fashion GmbH, Brand Works B.V., B.Nosy Kidswear B.V., Moodstreet B.V., Bellaire B.V., NoNo B.V., Flo B.V., LC Kidswear B.V., Brand Works Holding II B.V., Tygo&vito Kidswear B.V., SuperRebel Kidsgear Company B.V., Ko & Flo B.V., and all companies currently and in the future affiliated with these companies in a group context.

1.3 These terms and conditions apply to all existing D2C websites and future D2C websites of the group companies mentioned in 1.2. Below is an overview of the current D2C websites:

1.4 In addition to these General Terms and Conditions, specific product or service conditions may apply if expressly stated. In case of conflicting general terms and conditions, the Customer may always invoke the applicable provision that is most favorable to them.

1.5 Before the distance contract is concluded, the General Terms and Conditions will be made available to the Customer via the websites of SUPERREBEL KIDSGEAR COMPANY B.V. Accepting an offer or placing an order implies that the Customer has accepted these General Terms and Conditions as well as all other rights and obligations as stated on the website of SUPERREBEL KIDSGEAR COMPANY B.V.

 

Offers

2.1 All offers from SUPERREBEL KIDSGEAR COMPANY B.V. are without obligation. Offers are subject to the availability of products and/or services and SUPERREBEL KIDSGEAR COMPANY B.V. reserves the right to withdraw the offer within fourteen working days after receipt of acceptance. SUPERREBEL KIDSGEAR COMPANY B.V. has the right to refuse orders and/or dissolve the agreement if an item is unexpectedly out of stock.

2.2 If an offer has a limited validity period or is subject to conditions, this will be explicitly stated in the offer.

2.3 The offer contains a complete and accurate description of the offered products and services. If SUPERREBEL KIDSGEAR COMPANY B.V. uses images, these are a true representation of the offered products and services. However, color, type, text, and/or price changes that differ from reality may occur. Apparent errors or mistakes in the offer are not binding for SUPERREBEL KIDSGEAR COMPANY B.V.

2.4 The distance contract is concluded at the moment of acceptance by the Customer of the offer from SUPERREBEL KIDSGEAR COMPANY B.V. If the Customer has accepted the offer electronically, SUPERREBEL KIDSGEAR COMPANY B.V. will also confirm receipt of the acceptance of the offer electronically without delay.

2.5 Customer and SUPERREBEL KIDSGEAR COMPANY B.V. expressly agree that by using electronic communication forms a valid agreement is established. In particular, the absence of a regular signature does not affect the binding force of the offer and its acceptance. The electronic files of SUPERREBEL KIDSGEAR COMPANY B.V., to the extent permitted by law, will serve as a presumption of proof.

 

Prices

3.1 All prices are expressed in Euros (€), in accordance with legal regulations.

3.2 All prices include Dutch VAT and exclude shipping costs, unless otherwise stated in the product-related information. If the Customer is not in the country of dispatch, the Customer is responsible for any VAT or import duties due.

3.3 The stated prices are indicative prices. Exact prices are only visible once the Customer places an item in the shopping cart.

3.4 SUPERREBEL KIDSGEAR COMPANY B.V. is not bound by price indications that are incorrect as a result of input, typesetting, or printing errors. No rights can be derived from incorrect price information.

 

Payment

4.1 Payment must always be made in advance.

4.2 For orders via the website, payment is made via Ideal, PayPal, Credit Card, Google Pay, or Apple Pay through the payment provider Shopify Payments. Belgian customers can also pay via Bancontact. Payments must always be approved by Shopify Payments before SUPERREBEL KIDSGEAR COMPANY B.V. proceeds with delivery.

 

Delivery / Delivery Time

5.1 SUPERREBEL KIDSGEAR COMPANY B.V. strives to ship the ordered items within 24 hours after receipt of payment. The indicated delivery times are indicative and not a fatal deadline. Exceeding the delivery time does not give the Customer the right to compensation, dissolution of the agreement, or non-compliance with any obligation arising from this or any related agreement.

5.2 If a product that is temporarily out of stock is ordered by the Customer, an indication of when the product will be available again will be given. Delays will be communicated to the Customer by email or phone. The Customer has the right to cancel the purchase of the product that cannot be delivered within 30 days.

5.3 SUPERREBEL KIDSGEAR COMPANY B.V. prefers delivery via PostNL. This makes the orders traceable.

5.4 SUPERREBEL KIDSGEAR COMPANY B.V. is not responsible for orders lost by PostNL.

5.5 SUPERREBEL KIDSGEAR COMPANY B.V. is entitled to make partial deliveries. The additional costs for this will be borne by SUPERREBEL KIDSGEAR COMPANY B.V.

5.6 Shipping costs for Dutch shipments amount to €4.95. For Belgium, €5.95. Higher costs apply for other foreign shipments.

5.7 SUPERREBEL KIDSGEAR COMPANY B.V. is entitled to engage necessary third parties for the proper execution of its obligations if SUPERREBEL KIDSGEAR COMPANY B.V. deems this necessary or desirable.

5.8 The Customer is obliged to cooperate with the delivery and to take delivery of the delivered goods. In case of failure to take delivery by the Customer, SUPERREBEL KIDSGEAR COMPANY B.V. reserves the right to charge any costs incurred (including possible transportation and storage costs) to the Customer.

5.9 Delivery is deemed to have been refused if the ordered goods have been offered for delivery but delivery has proven impossible. The day on which delivery is refused will be considered the delivery date.

 

Returns and Right of Withdrawal

6.1 For agreements concluded via the website or in any other way where only electronic communication is used, the Customer has the right to exercise a right of withdrawal within 14 days after delivery of the order in question without penalty and without stating reasons. Outside this period, SUPERREBEL KIDSGEAR COMPANY B.V. can no longer accept returns.

6.2 If the Customer has exercised the right of withdrawal as mentioned in the previous paragraph, SUPERREBEL KIDSGEAR COMPANY B.V. will ensure a refund of the purchase amount of the returned items, minus the shipping costs. This will happen within 14 working days after receipt of the return shipment to the account from which the amount originated.

6.3 During the reflection period, the Customer must handle the product and packaging carefully. The Customer will only unpack or use the product to the extent necessary to determine if they wish to keep the product.

6.4 SUPERREBEL KIDSGEAR COMPANY B.V. only accepts exchanges/returns for which the instructions have been followed. The right of return does not apply if:

  • Goods are not reported within 14 days after delivery.
  • Goods are returned after 14 days.
  • Goods are damaged by the Customer.
  • The Customer has attempted to repair an item themselves.
  • There is a lack of attachments to the goods.
  • The goods are no longer in the same, salable condition as upon delivery.

6.5 The Customer is responsible for the return shipment. SUPERREBEL KIDSGEAR COMPANY B.V. assumes that the Customer returns the shipment in the same manner. Return shipments or returns without notification will not be accepted.

6.6 Any loss of a return shipment is entirely the responsibility of the Customer.

6.7 The costs for returning the product are borne by the Customer.

6.8 In case of an exchange, SUPERREBEL KIDSGEAR COMPANY B.V. will bear the shipping costs of the new item.

 

Complaints

7.1 The Customer must inspect the products on delivery for visible defects. If defects are found, the Customer must inform SUPERREBEL KIDSGEAR COMPANY B.V. in writing, preferably by email, within 14 days after delivery, providing a description and photo of the defects. After this period, SUPERREBEL KIDSGEAR COMPANY B.V. is no longer obliged to handle complaints.

7.2 If the Customer demonstrates that the products do not meet what is agreed, SUPERREBEL KIDSGEAR COMPANY B.V. will replace the returned products with new products or refund the invoice amount. This decision is at the discretion of SUPERREBEL KIDSGEAR COMPANY B.V.

7.3 Products can only be returned to SUPERREBEL KIDSGEAR COMPANY B.V. after written permission, in a manner determined by SUPERREBEL KIDSGEAR COMPANY B.V.

 

Intellectual Property

8.1 The intellectual property rights concerning the products supplied by SUPERREBEL KIDSGEAR COMPANY B.V. rest with SUPERREBEL KIDSGEAR COMPANY B.V. or its suppliers.

 

Liability

9.1 If the products delivered by SUPERREBEL KIDSGEAR COMPANY B.V. are defective, the liability of SUPERREBEL KIDSGEAR COMPANY B.V. towards the Customer is limited to the provisions in these General Terms and Conditions under "Complaints".

9.2 SUPERREBEL KIDSGEAR COMPANY B.V. is never liable for consequential damage or lost profits.

9.3 Without prejudice to the above, SUPERREBEL KIDSGEAR COMPANY B.V. is not liable if the damage is due to intent, gross negligence, or improper or inappropriate use by the Customer.

9.4 This liability limitation is not intended to exclude the liability of SUPERREBEL KIDSGEAR COMPANY B.V. for damage caused by intent or gross negligence by SUPERREBEL KIDSGEAR COMPANY B.V. itself or its managerial subordinates.

9.5 The limitation of liability in these General Terms and Conditions extends to employees and third parties engaged by SUPERREBEL KIDSGEAR COMPANY B.V.

 

Force Majeure

10.1 In case of force majeure, SUPERREBEL KIDSGEAR COMPANY B.V. is not bound to fulfill any obligation to the Customer. Force majeure includes any circumstance beyond the control of SUPERREBEL KIDSGEAR COMPANY B.V. that wholly or partially prevents the fulfillment of its obligations to the Customer. These circumstances include strikes, fire, operational disruptions, energy loss, disruptions in a (telecommunication) network or connection or used communication systems, and/or the unavailability of the website at any time, non-delivery or late delivery by suppliers or other engaged third parties, and the absence of any government license to be obtained. In case of force majeure, the obligations of SUPERREBEL KIDSGEAR COMPANY B.V. will be suspended. If the period in which the fulfillment of obligations by SUPERREBEL KIDSGEAR COMPANY B.V. is not possible due to force majeure exceeds 90 calendar days, both parties are entitled to dissolve the agreement, without any obligation to pay damages in that case.

10.2 If, at the time of the occurrence of force majeure, SUPERREBEL KIDSGEAR COMPANY B.V. has partially fulfilled its obligations under the agreement or can only partially fulfill its obligations, it is entitled to separately invoice the already delivered or deliverable part. The Customer is then obliged to pay this invoice as if it were a separate agreement.

 

Disputes and Applicable Law

11.1 The laws of the Netherlands apply exclusively to these General Terms and Conditions and all offers and agreements to which they apply.

11.2 Any disputes arising from or related to these terms and conditions or agreements to which they apply will be submitted to the competent court in the Netherlands, except when mandatory law prescribes otherwise

Miscellaneous

12.1 If and to the extent that any provision of these General Terms and Conditions is declared null and void or annulled, the other provisions of these General Terms and Conditions will remain in full force and effect. In that case, SUPERREBEL KIDSGEAR COMPANY B.V. and the Customer will consult to agree on new provisions to replace the void or annulled provisions, whereby the purpose and intent of the void or annulled provisions will be taken into account as much as possible.

12.2 The headings of the articles in these General Terms and Conditions are for ease of reference only and do not affect the interpretation or scope of the articles.
